1. Agreement and accounts

These Terms of Service are an agreement between you and Specific LLC, a Wyoming limited liability company, doing business as Porch. “Porch,” “we,” “us,” and “our” mean Specific LLC. By creating an account, accepting these terms, or using Porch, you agree to them and to our Privacy Policy.

You must have authority to accept these terms for yourself or the organization you represent. You are responsible for providing accurate account information, keeping login credentials confidential, and all activity under your account. Notify us promptly at [email protected] if you believe an account has been compromised.

Porch is intended for users who are at least 13 years old. If you use Porch for an organization, you are responsible for ensuring that your users are authorized to access the organization’s workspaces.

2. Acceptable use

You may use Porch only for lawful business and collaboration purposes and in accordance with these terms. You must not:

  • break the law, infringe another person’s rights, or violate a contract or duty of confidentiality;
  • upload malicious code, harmful material, or content that is illegal, abusive, deceptive, or invasive of privacy;
  • attempt to gain unauthorized access, probe or disrupt Porch, bypass limits, or interfere with another user’s account;
  • copy, resell, rent, lease, or exploit Porch except as expressly allowed by us;
  • use Porch to send unsolicited bulk messages or to store content you do not have the right to use; or
  • use automated means to access Porch in a way that burdens or harms the service.

We may investigate suspected violations and may remove content, limit access, suspend accounts, or take other action we reasonably consider necessary to protect Porch and its users.

3. Your content and responsibilities

You retain ownership of content you submit to Porch. You give Specific LLC a limited, worldwide, non-exclusive license to host, copy, process, transmit, display, and otherwise use that content only as needed to provide, secure, maintain, and improve Porch and to meet our legal obligations.

You are responsible for your content, your instructions, your users, and the permissions needed to collect and use information placed in Porch. You represent that you have the rights and lawful basis necessary for us to process your content as described in these terms and our Privacy Policy.

Porch is a collaboration tool, not a backup service. You should keep appropriate copies of important content. We are not responsible for content that is deleted by you or an administrator, lost because of your actions, or retained or removed as required by law or our operational processes.

4. Plans, billing, and refunds

Some Porch features require payment. Prices, billing intervals, included limits, and applicable taxes will be shown before purchase. You authorize us and our payment processor, Stripe, to charge the payment method provided for recurring charges and other amounts you owe.

Except where a refund is required by applicable law, all purchases and subscription charges are non-refundable. We do not provide refunds or credits for partial billing periods, unused time, unused features, downgrades, account suspension, or cancellation. You may cancel a recurring plan before the next renewal; cancellation normally takes effect at the end of the current paid period.

We may change prices or plan features by giving reasonable notice. If a payment fails, we may retry the charge, limit paid features, or suspend the account. You are responsible for applicable taxes, duties, and payment-provider fees that are not included in our stated price.

5. Porch ownership and third-party services

Porch, including its software, design, features, branding, documentation, and content provided by us, is owned by Specific LLC or its licensors and is protected by applicable intellectual-property laws. We give you a limited, revocable, non-transferable, non-exclusive right to use Porch during the period your account is authorized, subject to these terms.

If you provide suggestions or feedback, you allow us to use it without restriction or compensation. This does not transfer ownership of your content.

Porch relies on third-party services, including Amazon Web Services for infrastructure, Stripe for payment processing, and Resend for email delivery. Those services may be governed by separate terms and privacy notices. We do not control third-party services and are not responsible for their acts, omissions, outages, or policies.

6. Disclaimers and limits of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORCH IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Porch is a general collaboration tool. It does not provide legal, financial, tax, medical, security, or other professional advice. You are responsible for evaluating information, making decisions, maintaining appropriate safeguards, and complying with laws that apply to your work.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECIFIC LLC AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OPPORTUNITIES, OR DATA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO PORCH OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR PORCH DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100. THESE LIMITS APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

7. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Specific LLC and its owners, members, officers, employees, contractors, and providers from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your content, your use of Porch, your violation of these terms, or your violation of another person’s rights or applicable law.

8. Suspension and termination

You may stop using Porch or cancel your account at any time. We may suspend or terminate access, or discontinue all or part of Porch, if we reasonably believe it is necessary for security, legal, operational, or abuse-prevention reasons, if you breach these terms, or if we stop offering the service.

After termination, your right to use Porch ends. We may delete or retain account and workspace information according to our Privacy Policy, backup practices, legal obligations, and agreements with the organization that controls a workspace. Provisions that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, liability limits, indemnification, and dispute terms.

9. General terms

We may update these terms by posting a revised version and changing the effective date. If a change materially affects your rights, we may provide additional notice. Your continued use of Porch after an update means you accept the revised terms.

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. To the extent a dispute is not resolved informally, you and Specific LLC agree to the exclusive jurisdiction of the state and federal courts located in Wyoming, unless applicable law requires another forum.

You may not assign these terms without our prior written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of the relevant business or assets. If any provision is unenforceable, the remaining provisions will remain in effect. These terms and the Privacy Policy are the entire agreement about Porch and replace prior agreements about the service.

Questions about these terms can be sent to [email protected]. Porch is operated by Specific LLC in Wyoming, USA.
